Pernix Group, Inc., formerly Telesource International, Inc., was formed in 1994 to facilitate various intra-corporate activities and, until July 1999, was a wholly owned subsidiary of Sayed Hamid Behbehani & Sons Co. W.L.L. (SHBC), and a Kuwait-based civil, electrical and mechanical construction company. In August 2001, the company became an SEC reporting/listed company and was able to attract investment from other investors. Pernix Group, Inc. shares are publicly traded and therefore the Company is required to comply with the Securities and Exchange Commission’s regulations, with which the Company is fully compliant including Sarbanes-Oxley requirements. For ten years, the company undertook projects for both private and public entities, including U.S. Government projects that were located in remote areas of the world. The Company’s first major project was to execute a multi-million dollar radio relay station for the United States Information Agency (formerly the Voice of America) on a remote Island in the Pacific. Among its many other global projects, the company operates and manages facilities in the Commonwealth of the Northern Mariana Islands and Fiji through two subsidiaries--Telesource CNMI, Inc. and Telesource (Fiji), Ltd. Telesource CNMI manages regional construction projects as well as the operations and maintenance of the Company’s energy conversion facilities in the Mariana Islands. It also manages the Company’s Guam interests. Telesource (Fiji), Ltd., is responsible for the management of the Company’s long-term energy maintenance and operations contracts in Fiji. Also, Pernix Group, Inc., under its former name Telesource International, Inc. executed construction projects in Palau, Cyprus and Guam. A comprehensive list of projects can be found in our experience section . In 2005 Nidal Zayed was promoted to Chief Executive Officer and President. He recruited a new management team that has extensive expertise in construction, energy and financial management. Nidal and with his management team are focused on the continued expansion in the general construction and power generation markets, both worldwide and in the United States. In addition, Nidal’s vision and expertise in contract negotiations, with the strength of his management team, has been instrumental in the growth of the organization and its turn-around. The firm has extensive investor and banking relationships around the world that have provided the resources and continued support of the corporate vision, plan and team. In 2009, Telesource rebranded itself as Pernix Group, Inc. to better reflect its approach to business, expanding markets and its position in the U.S. marketplace and abroad. Pernix Group Inc., under the new management team, was awarded the contract to build the U.S. Embassy in Fiji. In addition, several new joint ventures were formed with SHBC and other industry leading companies. A recent joint venture was formed with UEI Holdings, LLC (Universal Energy), a domestic energy firm located in Texas. The Pernix Universal JV is directed at the domestic energy market and combines the resources of the two companies to provide a turn-key solution to clients’ energy projects. Pernix Group believes that working with joint venture partners combines the knowledge and resources of two companies that can outperform others for the ultimate benefit of its clients. Pernix Group will continue to aggressively seek strategic alliances to expand its construction and energy markets in the U.S. and around the world. |
